Banco BPM launches €500 million senior non-preferred notes

MILAN - Banco BPM S.p.A. announced on Thursday the launch of €500 million senior non-preferred notes due October 23, 2031, under its €25 billion Euro Medium Term Note (EMTN) Programme.

The fixed-to-floating rate notes will be listed on the Luxembourg Stock Exchange with denominations of €150,000 and increments of €1,000 thereafter. The ISIN for the securities is IT0005675126, according to the pre-stabilization notice.

Commerzbank AG will act as the Stabilization Coordinator, with Banca Akros S.p.A., Credit Agricole Corporate Investment Bank, IMI Intesa Sanpaolo S.p.A., J.P. Morgan SE, Natwest Markets N.V., and Société Générale SA serving as Stabilizing Managers.

The stabilization period is expected to begin on October 16, 2025, and last no longer than 30 days after the proposed issue date. During this period, the Stabilizing Managers may over-allot securities or conduct transactions to support the market price at levels higher than might otherwise prevail, in accordance with applicable laws and regulations.

The notes are being issued pursuant to Banco BPM’s EMTN Programme dated May 16, 2025, which was supplemented on September 17, 2025.

The offer price has yet to be confirmed, according to the pre-stabilization notice issued by the bank.
