UBS says use dips to add gold exposure as prices could reach $4,700
Predictive Oncology Inc. (POAI) announced it will raise approximately $344.4 million through two private placement transactions to support a digital asset treasury strategy focused on ATH tokens from the Aethir ecosystem.
The company will conduct two private investment in public equity transactions. The first involves selling approximately 66.7 million shares of common stock at $0.7751 per share for $51.7 million in cash proceeds. The second transaction includes pre-funded warrants to purchase up to 223.6 million shares at a similar price in exchange for approximately $292.7 million in notional value of Aethir tokens, representing $173.3 million in discounted value.
The transactions are expected to close on or about October 2, 2025, subject to customary closing conditions. The pre-funded warrants from the crypto transaction will become exercisable after the company receives shareholder approval.
Predictive Oncology plans to use the ATH token contributions for its digital asset treasury strategy and deploy remaining proceeds to acquire additional ATH tokens in the open market, along with working capital and general corporate purposes.
Shawn Matthews, CEO of DNA Holdings and former CEO of Cantor Fitzgerald, will join the company’s board of directors upon closing of the private placements. DNA Holdings Venture Inc. will serve as strategic advisor for the digital asset treasury.
Aethir operates a decentralized GPU network spanning 435,000 GPU containers across 200+ locations in 93 countries. The company states its network offers 40-80% cost savings compared to traditional cloud providers.
For each ATH token Predictive Oncology purchases on the open market, the DCI Foundation will grant the company an additional 20% of the purchased tokens.
H.C. Wainwright & Co. is serving as exclusive placement agent for the transactions. The company approved a 1-for-15 reverse stock split effective September 30, 2025, with all share information in the announcement presented on a pre-split basis.
